UXarts Service Agreement

Effective date: July 16, 2025

Special note:

Thank you for choosing to use "UXarts". The UXarts Service Agreement (hereinafter referred to as "this Agreement") is an effective contract between CARE & VALUE US, INC. and the user of UXarts ("You") regarding matters related to the "UXarts" services ("the Services"). Before signing this Agreement or using the Services, please carefully read and fully understand all terms and conditions, particularly those concerning liability waivers/limitations, dispute resolution, and applicable law. Liability waiver/limitation clauses may be highlighted in bold font and should be read with particular attention. If you have any questions about the Agreement, please consult the staff of CARE & VALUE US, INC.

By clicking to confirm or otherwise accepting this Agreement through the web page, you hereby agree to the terms and conditions of CARE & VALUE US, Inc., including all published and future rules, page prompts, operational procedures, announcements, and notices (collectively referred to as "this Agreement"). If you disagree with any content of this Agreement or cannot accurately understand CARE & VALUE US, Inc.'s interpretation of the terms, please refrain from proceeding with subsequent operations.

I. REPRESENTATIONS AND WARRANTIES

1. CARE & VALUE US, INC. may modify the agreement terms in response to changes in national laws and regulations, business adjustments, product updates, and user rights protection needs. The revised agreement will better align with operational realities and enhance mutual benefits. All amendments will be publicly disclosed through legal procedures. If you disagree with any changes, you may contact CARE & VALUE US, INC. before the effective date of the amendment to provide feedback. CARE & VALUE US, INC. will make appropriate adjustments based on your input.

2. The revised version of the agreement shall take effect on the expiration date of the publicity period and shall replace the previous version of the agreement.

3. You confirm that you have full civil rights capacity and civil conduct capacity as stipulated by law, and can independently bear civil liabilities. If you do not have the civil conduct capacity appropriate to the aforementioned acts, you and your guardian shall bear the consequences caused thereby in accordance with the law.

4. The terms and conditions outlined in this agreement between you and CARE & VALUE US, INC. do not comprehensively enumerate or cover all rights and obligations between the parties. Existing agreements may also fail to fully address future evolving needs. Therefore, all rules related to this service constitute supplementary agreements to this agreement, including the "UXarts Privacy Statement". Both CARE & VALUE US, INC. and you shall comply with these provisions, which are inseparable from this agreement and possess equal legal force.

2. Opening, providing and terminating the Service

1. This Service is an intelligent service provided based on Internet technology, and the specific services are subject to those displayed on the product and service introduction page and actually provided to you.

2. You may open and use the Service through your UXarts account. You may need to pay certain fees for using the Service. The specific fee collection rules and methods are subject to the display on the page. If you pay the payment according to the prompts on the page, it shall be deemed that you recognize the relevant rules, and you have no right to unilaterally demand a refund from CARE & VALUE US, INC.

3. You understand and acknowledge that UXarts may not guarantee the permanent provision of any services due to technological upgrades, service system enhancements, operational strategy adjustments, or compliance with national technical regulations and policy changes. The company reserves the right to modify, add, or replace service content and formats based on actual operational conditions, as well as adjust current pricing methods or rates. CARE & VALUE US, INC. will notify or announce such modifications, changes, or fee adjustments through relevant rules or service pages prior to implementation.

4. The term of service shall be terminated in advance under any of the following circumstances:

1) Both parties agree to terminate the contract in advance;

2) You no longer meet the conditions for using UXarts services;

3) You voluntarily apply to CARE & VALUE US, INC. to stop using the UXarts service;

4) If you violate relevant laws and regulations, any commitment under this Agreement or other agreements or rules of CARE & VALUE US, INC., CARE & VALUE US, INC. shall have the right to terminate the Service in advance;

5) CARE & VALUE US, INC. suspends or stops providing UXarts services to you in accordance with laws and regulations or other terms of this Agreement;

No suspension or termination of this Agreement for any reason shall release you from liability for compensation and liability arising from your actions prior to the suspension or termination of this Agreement.

III. Rights and Obligations of both Parties

1. In order to better provide you with the Service, you agree and authorize CARE & VALUE US, INC. to use the data for the following purposes:

1) Process, process and analyze the content (such as pictures, design source files, Figma links to the content pointed by the link) and related information you upload during the use of the Service, and display the relevant content and information and the results of processing, processing and analysis on the Service.

2) For the processing, processing and analysis results formed by CARE & VALUE US, INC. after processing the original store operation data or other content and related information uploaded by you, CARE & VALUE US, INC. may use them without your consent based on the needs of product testing, release and commercial use.

3) Unless otherwise agreed by both parties, your foregoing authorization is free, long-term, irrevocable and shall not be suspended, terminated or invalidated due to the suspension, termination or invalidation of this Agreement.

4) Please ensure that the content and data you provide to us are compliant and have obtained any necessary and legal authorization from third parties.

2. You hereby undertake to comply with national and local laws, regulations, industry standards, and public ethics when using this service. You shall not violate relevant laws and regulations including the "Administrative Measures for Security Protection of International Computer Information Network Interconnection", "Administrative Measures for Internet Information Services", "Decision on Safeguarding Internet Security", "Regulations on the Administration of Internet News Information Services", "Copyright Law of the People's Republic of China", and "Trademark Law of the People's Republic of China". You shall not utilize UXarts services to facilitate the uploading, submission, storage, publication, transmission, reception, dissemination, or sharing of the following information and content, nor engage in any related activities that provide convenience:

1) Any content (information) that violates national laws, regulations and policies;

2) Violation of political propaganda and/or news information stipulated by the state;

3) Information involving state secrets and/or security;

4) Prize-winning gambling, gambling games, feudal superstition and/or obscene, pornographic, vulgar information or information that incites crime;

5) Information that violates the state, ethnic and religious policies;

6) Information that hinders the operation security of the Internet;

7) Infringing the intellectual property rights of others or involving the trade secrets and other proprietary rights of third parties;

8) Information of insult, slander, intimidation, involving others' privacy, infringing on the legitimate rights and interests of others, or other information or content that is harmful to social order, public security and public morality;

9) The presence of malicious software, program code, such as viruses, Trojan horses and crawlers that may damage, tamper with, delete or affect the normal operation of any system of CARE & VALUE US, INC., or illegally obtain the data and personal information of CARE & VALUE US, INC. and other users without authorization;

10) Harassment, excessive marketing information, harmful to minors information and junk information;

11) Other content that violates the public interest or public morality, or is not suitable for publication on CARE & VALUE US, INC. in accordance with the provisions of the relevant CARE & VALUE US, INC. agreement or rules.

3. Regarding the content you upload, submit, store, publish, send, receive, disseminate, or share through this service, CARE & VALUE US, INC. will only conduct its own or third-party review, examination, analysis, and discussion of such content under applicable laws, regulations, national policies, or requirements from relevant government authorities. The company reserves the right to provide such content to relevant government agencies for review and use for their intended purposes. Such actions by CARE & VALUE US, INC. or its third parties do not constitute any review or warranty obligations, nor shall they exempt you from liability for breach of this agreement arising from violations of these terms.

4. The Service is for your own use only and you have no right to transfer, lease, borrow, share or sell any part or all of the Service to others in any way at any time.

5. You shall ensure that the following circumstances do not occur:

1) Using the Service for illegal purposes or to promote dangerous activities;

2) Interfere with or impair servers or networks related to the Service, or fail to comply with any requirements, procedures, policies or regulations applicable to the Service;

3) Acts harmful to minors;

4) Acts that infringe the legitimate rights and interests of CARE & VALUE US, INC. or any third party;

5) Other acts deemed harmful or improper by CARE & VALUE US, INC.

6. If you commit any of the aforementioned breaches or your conduct causes CARE & VALUE US, INC. and/or its affiliates to be subject to claims by a third party:

1) You agree that CARE & VALUE US, INC. has the right to take one or more of the following processing measures: delete, block or disconnect the relevant information by technical means, suspend or terminate part or all of the Services, or take appropriate corrective or processing measures according to relevant laws and regulations for your violations or behaviors.

2) If your actions cause losses to CARE & VALUE US, Inc., its affiliates, or third parties, you shall be liable for corresponding compensation. The liability shall include, but not be limited to: all losses suffered by CARE & VALUE US, Inc. and/or its affiliates as a result of your actions (including direct economic losses, goodwill damage, compensation payments made externally, settlement funds, legal fees, litigation costs, administrative penalties, fines, and indirect losses such as expenses paid to third parties).

IV. Exemption and Limitation of Liability

1. You understand and agree that the Service is provided under the current state of CARE & VALUE US, INC. 's existing technology and conditions. CARE & VALUE US, INC. will make every effort to ensure the accuracy and security of the Service, but cannot guarantee that the Service is flawless or will necessarily meet your requirements or expectations. You acknowledge that even if the Service contains defects, such defects shall not be deemed a breach of contract by CARE & VALUE US, INC. if they are unavoidable under the Company's existing technology and conditions.

2. CARE & VALUE US, INC. shall not be liable to you for any service unavailability caused by the following reasons, except as otherwise expressly provided by law:

1) The services provided by CARE & VALUE US, INC. are unavailable due to security threats or fraud or illegal activities caused by you or your end users;

2) The service is not caused by your or any third party's equipment, software or technology;

3) The service is unavailable due to your failure to configure and use the product in accordance with CARE & VALUE US, INC. requirements;

4) Service is unavailable due to your violation of any CARE & VALUE US, INC. product rules;

5) Service is unavailable because you are not paying or owe money;

6) The services caused by your illegal use are not available;

7) Service unavailability due to maintenance or upgrade of the network, hardware or service related to the Service;

8) Service is unavailable due to force majeure;

9) Service is unavailable or service fails to meet standards due to reasons other than CARE & VALUE US, INC.;

10) The circumstances under which CARE & VALUE US, INC. is exempt from liability or liability for damages as stated in relevant laws and regulations, relevant agreements, relevant rules or the relevant service terms, rules, instructions separately issued by CARE & VALUE US, INC.

3. The content or results generated through this service are provided for your reference only. You should make necessary adjustments or modifications based on actual usage scenarios. CARE & VALUE US, INC. does not guarantee the accuracy or completeness of the generated content. No civil legal relationship such as commission, contract, or processing shall be deemed established between you and CARE & VALUE US, INC. You shall bear full responsibility for your actions and outcomes when using this service.

V. Trade Secrets and Intellectual Property Rights

1. Both parties ("Receiving Party") shall maintain confidentiality regarding the terms of this Agreement and any trade secrets or technical know-how obtained through its execution, including but not limited to: the contents of this Agreement and any supplementary agreements; documents generated during cooperation; materials obtained by the Receiving Party from the Disclosing Party or its affiliates; user data; financial information; technical specifications; operational details; and customer profiles. The Receiving Party shall strictly prohibit disclosing or sharing these confidential information with any third party (including employees not authorized by either party) for purposes unrelated to the Agreement's fulfillment.

2.CARE & VALUE US, INC. is the intellectual property owner of UXarts products and services. Without the written consent of CARE & VALUE US, INC. or the relevant rights holder, you may not implement, utilize, transfer or license such intellectual property by yourself or by any third party for any commercial or non-commercial purposes.

3. To protect your interests, CARE & VALUE US, INC. may conduct promotional activities for you from time to time. You hereby grant automatic authorization to CARE & VALUE US, INC. to use your brand and trademarks free of charge on its official website, promotional materials, media channels, and related pages. However, CARE & VALUE US, INC. shall not use such materials in any way that damages your brand reputation.

VI. Applicable law, jurisdiction and other matters

1. The formation, validity, interpretation, performance, execution, modification and termination of this Agreement and the settlement of any dispute hereunder shall be governed by the laws of the People's Republic of China.

2. If any provision of this Agreement is deemed invalid or unenforceable, such provision may be separated and the remaining provisions shall remain legally effective.

3. Care & Value US, Inc. shall not be deemed to have waived its rights under this Agreement by abandoning your fault or breach.

4. All disputes related to this Agreement shall be settled by both parties through friendly negotiation. If no agreement can be reached through negotiation, either party shall have the right to file a lawsuit in the court where the plaintiff is located.
